Terms of Service
By using Salesrep, you agree to these terms. Please read them carefully.
1. Acceptance of Terms
By registering or using the Salesrep platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the platform. These terms apply to all registered users including buyers (pharmacies, doctors, hospitals, clinics, and dealers) and suppliers.
2. Platform Purpose
Salesrep is a business-to-business marketplace that connects licensed medicine suppliers with qualified buyers. The platform facilitates the placement and review of offers on medicine listings. Salesrep does not itself sell medicines and acts only as an intermediary platform.
3. Eligibility and Registration
To register as a buyer, you must be a legally operating business in the healthcare or pharmaceutical sector. Registration requires a valid business email, phone number, and may require a drug license or business certificate. Suppliers must provide proof of business registration and appropriate licenses. Salesrep reserves the right to reject or revoke any registration without notice.
4. Account Security
You are responsible for maintaining the security of your account credentials. You must not share your login details with others. You must notify us immediately of any unauthorised account access. Salesrep is not liable for any losses resulting from your failure to protect your credentials.
5. Offer Rules
Each buyer may place a maximum of two offers per listing. Offers are subject to admin approval before becoming visible. Offers must meet any minimum discount percentage specified by the supplier. Offers cannot be withdrawn once submitted. Placing false or manipulative offers is strictly prohibited and may result in account suspension.
6. Supplier Obligations
Suppliers must ensure that all listed medicines are genuine, properly licensed, and available for supply as described. Listing inaccurate or misleading product information is prohibited. Suppliers must honour agreements made through the platform in good faith. Salesrep is not party to any supply agreement between suppliers and buyers.
7. Buyer Obligations
Buyers must hold valid licenses required for the purchase and possession of listed medicines. Buyers must ensure that orders placed through the platform comply with all applicable regulations. Salesrep reserves the right to verify license status and suspend accounts with invalid or expired licenses.
8. Drug License Requirement
In order to place offers on listings, buyers must have an approved drug license on file. Uploading false or invalid license documents is a serious violation and may result in permanent account termination and referral to regulatory authorities.
9. Platform Fees
Salesrep may charge fees for certain platform features. Fee structures will be clearly communicated before any charges are incurred. Salesrep reserves the right to modify fees with reasonable notice to users.
10. Prohibited Activities
You must not: attempt to access accounts other than your own, engage in price manipulation or collusion, scrape or harvest platform data, upload malicious files or code, circumvent security measures, use the platform for any unlicensed pharmaceutical activities, or engage in any fraudulent conduct.
11. Intellectual Property
All platform content, design, and code is the intellectual property of Salesrep. Product listings remain the property of the respective suppliers. You are granted a limited, non-transferable license to use the platform for its intended purpose only.
12. Disclaimer of Warranties
Salesrep is provided 'as is' without warranties of any kind. We do not guarantee that the platform will be uninterrupted or error-free. We do not verify the quality, legality, or compliance of listed medicines and make no representations about them.
13. Limitation of Liability
To the fullest extent permitted by law, Salesrep shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform, including losses from transactions facilitated through the platform.
14. Termination
Salesrep reserves the right to suspend or terminate any account at any time for violations of these terms or for any other reason at its discretion. Upon termination, your right to access the platform ceases immediately. Provisions of these terms that by their nature should survive termination will continue to apply.
15. Governing Law
These Terms of Service are governed by the laws of Sri Lanka. Any disputes arising from your use of the platform shall be subject to the exclusive jurisdiction of the courts of Sri Lanka. If you have questions about these terms, contact us at legal@salesrep.lk.
